these terms of service govern your access to and use of dawn, including our website at https://dawn.trade, telegram bots, trading interfaces, software and related features and services, together referred to as the “services”.
the services are operated by dawn bot, referred to in these terms as “dawn”, “we”, “us” or “our”.
“you” and “your” mean the person using the services or, where applicable, the legal entity on whose behalf that person is acting.
by accepting these terms through the services, you agree to be bound by them. where permitted by applicable law, using the services after these terms have been brought to your attention also constitutes acceptance. if you do not agree, you must not use the services.
if you act on behalf of a legal entity, you confirm that you have authority to bind that entity.
trading digital assets, especially memecoins, involves a substantial risk of loss. you may lose the entire amount committed to a trade, together with applicable fees. automated trading can generate repeated transactions and losses without further confirmation from you.
you may use the services only if:
you must not use the services from a location, or on behalf of a person or entity, where providing or receiving the services is prohibited by applicable law.
additional locations in which dawn does not offer the services are: united states of america, the people's republic of china, afghanistan, democratic republic of congo, cuba, venezuela, myanmar (burma), lebanon, libya, somalia, nicaragua, syria, south sudan, sudan, zimbabwe, yemen, haiti, guinea, republic of guinea-bissau, mali, democratic people's republic of korea (north korea), iran, iraq, russia, belarus, regions of ukraine: crimea, sevastopol, donetsk, luhansk, zaporizhzhia, kherson or any other state, country or region that is subject to sanctions enforced by the united nations, european union and its member states, united states and united kingdom sanctions lists.
you must not use a vpn, proxy, false information, another person’s account or any other method to bypass an applicable access restriction.
we may request information reasonably necessary to verify eligibility, ownership, authority or compliance with applicable law. we may restrict access while required checks remain incomplete.
availability of the website or bot in a location does not mean that the services are legally available there.
dawn provides software through which users can configure and submit digital asset transaction instructions.
depending on the features available to you, the services may include:
features may vary by network, asset, integration and location. a feature described in these terms is available only where it is actually offered through the services.
dawn does not promise that any particular asset, route, network or feature will remain supported.
you decide whether to trade, which assets to trade, how much to commit and which settings to use.
information provided through dawn, including token information, charts, prices, alerts, rankings, examples and support responses, is general information and is not personalised investment, legal or tax advice.
making a token accessible through dawn does not mean that we have verified its issuer, audited its code, endorsed it or determined that it is appropriate for you.
automating an instruction does not constitute a recommendation of that instruction or a promise that the strategy will succeed.
nothing in these terms removes any duty that applicable law requires us to perform.
dawn uses privy, a third-party wallet infrastructure provider, to support wallet creation, management and transaction signing. wallet transactions are signed by users through the integrated signing process. dawn does not store users’ wallet private keys on its own systems.
when you sign a transaction or authorisation, you approve the action or permissions presented through the services. where you authorise an automated task, transactions may execute under that authorisation without a separate confirmation for each transaction, as described when you enable the task.
you can export your wallet’s private key through the export functionality available in dawn. you are responsible for exporting and securely backing up your private key before losing access to your account or the services.
an exported private key may allow you to access the corresponding wallet through compatible third-party wallet software, independently of dawn, subject to the relevant network and wallet requirements.
anyone with your private key may be able to control the corresponding assets. keep it confidential and secure. never share it in a support conversation or with anyone claiming to represent dawn.
exporting a private key does not change the wallet’s address, cancel pending transactions or automatically disable automated tasks.
you are responsible for securing your telegram account, devices, authentication credentials and exported private keys.
loss of access to your telegram account, account suspension, compromised credentials or the unavailability of dawn or its providers may prevent you from accessing your wallet through the services.
dawn does not guarantee that it can restore account access, recover a lost private key or retrieve assets where you have not retained an effective means of independent access.
to the extent permitted by applicable law, dawn is not liable for loss of access to assets or resulting losses caused by your failure to secure your account, retain your private key or maintain an independent means of wallet access, or by telegram restrictions or service interruptions outside our reasonable control.
this exclusion does not apply to the extent that a loss is caused by our breach of a legal duty or other liability that cannot lawfully be excluded. section 20 also applies.
you can stop an automated task by disabling it through dawn’s task controls. dawn does not currently provide a separate control for revoking the underlying signing permissions.
disabling a task instructs dawn to stop future execution of that task. it does not itself revoke an underlying signing permission or on-chain token approval, and it cannot reverse completed transactions.
transactions already signed, submitted or otherwise committed to execution may still complete after a task is disabled.
closing telegram, deleting a conversation, exporting a private key or ceasing to use dawn does not disable active tasks. review and disable each task you no longer want to operate.
if dawn is unavailable, you may be unable to use its task controls until access is restored. contact support promptly if you suspect unauthorised activity, but do not assume that contacting support immediately stops execution or guarantees recovery of assets.
when you press a buy, sell, swap, confirm or equivalent action button, you instruct the services to initiate the action shown using the selected wallet, amount and settings.
if you enable a feature that submits transactions immediately, there may be no additional confirmation screen.
your instruction authorises the steps reasonably necessary to carry it out, including applicable token approvals, signing requests, routing, conversions and payment of disclosed fees, within the permissions and transaction parameters you approve.
this authorisation does not permit dawn to initiate unrelated trades or disregard your selected spending limits.
before submitting an instruction, check the asset’s contract address, network, wallet, amount, destination and execution settings. token names, symbols and images may be duplicated or misleading.
repeated button presses or repeated instructions may create separate transactions. check the transaction status before attempting a transaction again.
submission or receipt of an instruction does not mean that it has executed. a submitted transaction may be rejected, delayed, replaced or fail.
where dawn offers purchases funded with usdc, pressing buy authorises the services to use the selected amount of usdc to obtain the requested asset, including any necessary intermediate conversions or transfers within the disclosed route and settings.
a purchase may require multiple steps. these may include converting usdc into another digital asset, moving assets between supported networks through an integrated provider, and exchanging an intermediate asset for the token you selected.
references to “no bridging” or similar convenience features mean that you may not need to perform a separate manual bridging process. they do not guarantee that the underlying route involves no cross-chain transfer, bridge, messaging system or third-party settlement process.
each step may involve its own exchange rate, price impact, network charge and provider fee. the final amount received may differ from an earlier estimate, subject to any enforceable minimum-output conditions included in the transaction.
a failed later step does not automatically reverse an earlier completed step. recovering, moving or converting remaining assets may require further action, additional fees and provider support. any available return process may return a different amount because of fees or price changes.
usdc and other stablecoins are digital assets, not a guarantee of a fixed cash value. they may lose their intended peg or be affected by issuer restrictions, address freezes, redemption limitations or technical failures. assets bearing the same name on different networks may have different issuers, wrappers or risks.
when you enable an automated feature, you give a continuing instruction to submit transactions when its configured conditions are detected, subject to the settings and permissions you select.
automated instructions may operate while you are offline, while telegram is closed or while you are not actively monitoring dawn. depending on the feature, one configuration may produce multiple transactions.
you are responsible for checking:
automated trading may react to delayed, incomplete or incorrect data. changing prices, insufficient balances, competing instructions, network conditions and software failures may prevent the intended result.
to stop an automated strategy, use its cancellation or disable controls and check the resulting status. closing telegram, deleting a chat or disconnecting an interface may not cancel stored instructions or revoke signing permissions.
a cancellation can affect only instructions that remain capable of cancellation. transactions already signed, submitted or committed to an external provider may still complete.
a limit order or other conditional instruction may operate by monitoring data and submitting a transaction when a condition is detected. unless expressly stated, it is not a resting order on a centralised exchange.
the interface’s description of the order determines whether a specified price is a trigger for submission, an execution limit, or both. a trigger price alone does not guarantee an execution price.
a condition may appear to have been met without an order executing. execution depends on the data source, available liquidity, supported routes, balances, allowances, network conditions and transaction parameters.
orders may expire, fail or remain pending. partial execution is possible where the relevant feature or route supports it.
any supported stop-loss, take-profit or similar feature reduces risk only within its technical limits. it does not guarantee a maximum loss or that an asset can be sold.
changes and cancellations take effect only if processed before the relevant instruction becomes irreversible.
multi-wallet features allow you to issue instructions involving more than one supported wallet.
review whether an amount shown applies to each wallet or to all selected wallets combined. an instruction applied separately to several wallets can produce a larger total spend and more fees than an instruction for one wallet.
transactions across wallets are separate unless expressly stated otherwise. they may execute at different times and prices, and some may succeed while others fail.
one wallet’s insufficient balance or failed transaction does not necessarily stop transactions from other selected wallets.
multiple wallets do not guarantee anonymity or prevent their activities from being linked through public blockchain records or other information.
prices, balances, valuations, profit and loss figures, fee estimates and transaction statuses may be delayed or incomplete. displayed portfolio value is not necessarily the amount obtainable by selling the assets.
execution can be affected by liquidity, price impact, token transfer charges, network congestion, transaction ordering and competing trading activity, including front-running and sandwich attacks.
slippage settings and minimum-output checks apply according to their implementation and the scope shown in the interface. a control applied to one step of a multi-step route may not limit the overall cost or price movement of the entire route.
we do not guarantee the best available price, the lowest fees, priority inclusion or execution within a particular time unless we expressly undertake to provide a specific standard.
any supported risk indicator, simulation or transaction protection is a limited tool. it may fail to detect malicious code, changing token permissions or other hazards.
the applicable dawn fee or calculation method are disclosed in the documentation.
transactions may also incur network fees, priority fees, validator tips, liquidity-provider fees, routing charges, cross-chain charges and token-imposed taxes. these charges may be collected by third parties.
where a provider’s charge or spread is included in a quote, it affects the amount you receive. a convenience feature that handles network funding does not necessarily mean that the underlying transaction has no cost.
you authorise deduction of the disclosed charges from the relevant transaction amount, proceeds or authorised wallet balance, as described when you approve the instruction.
some network and provider charges may be incurred even when a trade fails. in a multi-step transaction, charges may also apply to steps that completed before a later failure.
we will give reasonable advance notice of material changes to dawn’s fees, including an opportunity to disable affected automated instructions before a new rate applies. changes will not apply retrospectively to completed transactions.
completed blockchain transactions generally cannot be reversed by dawn. fees properly charged for completed services are generally non-refundable, except where required by law or an express refund commitment. this does not prevent claims concerning duplicate charges, incorrectly calculated fees or services we failed to provide.
contact us if you believe a charge is incorrect. refunds of charges retained by an independent provider may depend on that provider and applicable law.
memecoins are highly speculative. their value may depend largely on sentiment, publicity or concentrated trading activity rather than any underlying entitlement or productive use.
risks include:
a successful purchase, test transaction or simulation does not establish that a later sale will succeed.
do not assume that assets used through dawn are covered by deposit insurance or an investor compensation scheme. any protection depends on the applicable law, provider and arrangement.
you should commit only assets whose loss you can afford.
dawn depends on external systems, which may include telegram, blockchain networks, wallet and signing providers, exchanges, liquidity pools, routing providers, cross-chain infrastructure and data services.
third-party terms may apply to your use of those systems. where an integration requires a separate agreement, that agreement will govern your relationship with the provider.
dawn is independently operated and is not a telegram service. telegram account restrictions, outages or changes may affect your access to dawn.
external providers may delay, reject or restrict transactions, including for technical or compliance reasons. dawn cannot guarantee their continued availability or reverse their decisions.
our use of an external provider does not remove any responsibility that applicable law places on us for our own services, integration or conduct.
you must not use the services to:
multi-wallet and automated features do not authorise otherwise prohibited conduct.
you may use the intended automation features and any expressly permitted integrations. this does not permit unauthorised access to our systems or exploitation of defects.
we may maintain, update or change the services and may suspend a feature to address security concerns, technical failures, legal requirements or abuse.
we may restrict or terminate your access if you materially breach these terms, no longer satisfy eligibility requirements or present a reasonably identified security or legal risk.
we will give reasonable notice where practicable. immediate action may be necessary where advance notice would compromise security, breach the law or prevent us from responding effectively.
where practicable and lawful, we will provide reasonable notice before permanently discontinuing a funded-wallet feature and explain available steps for cancelling instructions and accessing or transferring remaining assets under the applicable wallet arrangement.
suspension of dawn access does not itself transfer ownership of your assets to us. however, access through dawn may be interrupted, and transactions already submitted may still complete.
we will take reasonable steps to stop pending automated instructions under our control when terminating access, but cannot guarantee cancellation of instructions already committed to external systems.
our privacy notice at dawn.trade/privacy explains how personal information is collected, used, shared and retained.
blockchain transactions may publicly reveal wallet addresses, amounts and transaction histories. public blockchain records may remain available after you stop using dawn.
telegram and other providers process information under their own privacy terms.
acceptance of these terms does not, by itself, constitute consent to optional marketing. any consent required for marketing or optional tracking will be obtained separately.
we may send operational communications relating to security, transactions, service changes and these terms through the bot, website or contact details you provide.
dawn and its licensors retain their rights in the software, branding, interface and other materials provided through the services.
subject to these terms, you receive a limited, non-exclusive and non-transferable permission to use the services for lawful personal or internal business purposes.
you must not resell, sublicense or commercially redistribute the services, remove ownership notices or copy protected materials without permission. restrictions on reverse engineering apply only to the extent permitted by law and do not override applicable open-source licences.
you retain your rights in materials you submit. you give us permission to process those materials as necessary to provide the services and as described in our privacy notice.
if you voluntarily provide product suggestions, you permit us to use those suggestions without compensation. this permission does not authorise disclosure of your personal information or confidential wallet credentials.
we will provide the services with any level of care and skill required by applicable law.
subject to that requirement and any express commitments we make, the services are provided on an “as available” basis.
to the extent permitted by law, we do not give implied warranties of merchantability, fitness for a particular purpose or uninterrupted operation.
we do not warrant that the services will always be error-free or secure, that all defects will be corrected immediately, or that any trading strategy will be profitable.
these provisions do not limit rights or remedies that cannot lawfully be excluded.
nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, deliberate misconduct, or any other liability that cannot lawfully be excluded or limited.
subject to those exceptions, and to the extent permitted by applicable law, we are not liable for indirect or consequential loss, loss of anticipated profits, lost business opportunities or reputational harm arising from use of the services.
we are not responsible for losses to the extent caused by market movements, malicious token behaviour, your instructions, or independent failures outside our reasonable control, unless our breach of these terms or a legal duty caused or contributed to the loss.
if you are a consumer, these terms do not exclude liability or remedies that applicable consumer law preserves. any limitation applies only to the extent it is enforceable against you.
if you use the services for business purposes, you agree to reimburse dawn for reasonable losses, costs and legal expenses arising from third-party claims caused by your unlawful use of the services, deliberate misconduct or material breach of these terms.
this obligation applies only to the extent that you caused the relevant loss. it does not cover losses caused by dawn’s negligence, misconduct or breach.
we will notify you promptly of a relevant claim, take reasonable steps to limit the loss and allow you reasonable participation in its defence. we will not agree to a settlement imposing a non-monetary obligation or admission on you without your consent.
this section does not apply to consumers.
you are responsible for determining and complying with your tax and reporting obligations.
a conversion from usdc into another asset, an intermediate swap or an automated sale may have tax consequences even if no fiat currency is received.
dawn’s transaction summaries and profit and loss displays are convenience tools and may not contain all information required for tax reporting. maintain your own records and obtain professional advice where needed.
we may make reports or deductions where required by applicable law.
you may stop using dawn at any time.
before leaving, review and cancel active strategies and orders, revoke permissions where appropriate, retain transaction records and use the applicable wallet procedures to access or transfer your assets.
deleting a telegram conversation does not necessarily close your dawn account, cancel instructions or revoke blockchain permissions.
ending your use does not reverse completed transactions, remove public blockchain records or eliminate charges already properly incurred.
provisions concerning accrued payment obligations, intellectual property, liability, dispute resolution and other matters intended to continue will survive termination.
we may update these terms to reflect changes in the services, legal requirements or operating arrangements.
we will identify the effective date and give reasonable advance notice of material changes through the services. an urgent legal or security change may take effect sooner, with an explanation where lawful and practicable.
changes will not retrospectively alter rights or obligations relating to completed transactions.
where applicable law requires express acceptance, we will obtain it. otherwise, continued use after the notified effective date constitutes acceptance to the extent permitted by law.
if you do not accept a change, stop using the affected services and cancel relevant continuing instructions before it takes effect.
these terms are governed by the laws of the virgin islands.
subject to mandatory rights under applicable law, the courts of the virgin islands will have jurisdiction over disputes arising from these terms or the services.
if you are a consumer, this choice does not deprive you of mandatory protections available under the law that applies to you, or of any right to bring proceedings in another court that applicable law provides.
please contact us at contact@dawn.trade with a description of any complaint and the outcome you seek. we will attempt to resolve it in good faith.
you do not need to delay urgent proceedings or allow a statutory deadline to expire while a complaint is being considered.
these terms, together with any feature-specific terms expressly presented and accepted, form the agreement governing your use of dawn.
a feature-specific term takes priority only for that feature and only where the conflict is expressly identified. neither these terms nor feature-specific terms override mandatory law.
if a provision is unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue to apply.
a delay in enforcing a right does not waive that right.
you may not transfer your contractual rights or obligations without our written consent, except where applicable law permits. we may transfer this agreement as part of a genuine business reorganisation or sale, provided the transfer does not reduce your contractual protections. we will provide notice where required.
no provision gives a third party a right to enforce these terms unless expressly stated or required by law.
